1. Scope of the Terms and Conditions
These General Terms and Conditions (GTC) apply to all contracts relating to the provision of daily lunch and catering services (production and delivery of food and beverages, provision of personnel) as well as the provision of conference, banquet and event rooms and event equipment by Bella&Bona GmbH (hereinafter:"Bella&Bona").
Deviating provisions, even if they are contained in the General Terms and Conditions of the Contractual Partner, do not apply unless they are expressly acknowledged in writing by Bella&Bona GmbH.
The following applies to entrepreneurs: Does the entrepreneur use conflicting or
supplementary General Terms and Conditions, their validity is hereby objected to; they will only become part of the contract if we have expressly agreed to this.
2. Conclusion of the contract
DAILY LUNCH
The offer of the website (www.bellabona.com) does not constitute a binding offer of the provider to conclude a purchase contract. The customer is only asked to submit an offer by placing an order.
By sending the order, the customer makes a binding offer directed to the conclusion of a purchase contract for the goods contained in the shopping cart. By submitting the order, the customer also acknowledges these terms and conditions as having a decisive role for the legal relationship with the supplier alone.
By subsmitting the products in the online shop, Bella&Bona makes a binding offer to conclude the contract for these items. You can first add our products to the shopping cart without obligation and correct your entries at any time before submitting your binding order by using the correction aids provided for and explained in the order process.
The contract is concluded by clicking on the order button to accept the offer for the goods contained in the shopping cart. Immediately after sending the order, you will receive a confirmation by e-mail.
Catering
The catering contract is concluded as described in the previous paragraph or by written acceptance of the offer made by Bella&Bona GmbH by the ordering party/customer.
If the customer concludes the contract on behalf of the customer as a representative, it is in principle not the customer, but the represented customer who is the contractual partner Bella&Bona GmbH.
The catering contract is also concluded by the written confirmation of the offer by Bella&Bona GmbH. Through the order confirmation, all rights and obligations arising from the contract are transferred to Bella&Bona GmbH.
3. Order and delivery rules of Daily Lunch and Catering
DAILY LUNCH:
Daily Lunch business hours/delivery hours are Monday to Friday. Saturday deliveries are only possible upon prior confirmation.
Orders received before 9:29 a.m. will be delivered on the same day.
Delivery is always made to the delivery address specified by the customer on a pre-arranged delivery date.
CATERING SERVICE
Bella&Bona accepts free changes to orders if they are placed before the be notified in writing to Bella&Bona no later than 48 hours.
4. Payment methods
DAILY LUNCH
Payment can be made by credit card, Sepa, PayPal, Google Pay, Wallet or fee conversion
CATERING SERVICE
Payment is made by invoice, prepayment, credit card, PayPal or direct debit.
5. Cancellation
CATERINGSERVICE
In case of cancellation of total orders already placed, we charge:
Small events (orders 300-500 Euro):
- Bis zu 9 Tage vor dem vereinbartem Liefertermin 25%
- Up to 6 days before the agreed delivery date 50% of the order.
- Up to 3 days before the agreed delivery date 75% of the order.
Events (orders over 600 - 3,000 euros):
- Bis zu 11 Tage vor dem vereinbartem Liefertermin 25%
- Up to 8 days before the agreed delivery date 50% of the order.
- Up to 4 days before the agreed delivery date 75% of the order.
Major events (orders over 3,000 euros):
- Up to 15 days before the agreed delivery date 25%
- Up to 10 days before the agreed delivery date 50% of the order.
- Up to 5 days before the agreed delivery date 75% of the order.
For all events
In case of cancellations on the day of delivery, we reserve the right to charge up to 100% of the order value.
The availability of our products, especially seasonal influences, requires that we reserve reasonable changes to our proposals. This also applies to pricing due to seasonal fluctuations.
6. Number of participants (event catering)
The client undertakes to inform "Bella&Bona GmbH" of the exact number of participants and the final selection of meals no later than 2 weeks before the event. In the event of a reduction of more than 10% in the number of participants, "Bella&Bona Gmb" reserves the right to a new price calculation.
This information is considered to be a guaranteed content of the contract and will be taken into account in the final statement.
Additional orders for food, beverages, additional material, etc. will be charged separately according to the list prices of "Bella&Bona GmbH".
Delivery shall be made to the address specified in the contract.
Upon collection of the goods, the risk passes upon handover of the goods to the customer. If the delivery is carried out by "Bella&Bona GmbH", the risk transfer shall pass with the time of the vehicle's arrival at the destination.
7. Down payments
Upon conclusion of the contract, the client makes a down payment on the services agreed in the contract:
Events mit Bestellungen über 3.000 Euro:
Bis zu 1 Woche vor dem vereinbartem Liefertermin 25%
Events with orders over 10,000 euros:
Up to 2 weeks before the agreed delivery date 35%
Events with orders over 20,000 euros:
Up to 4 weeks before the agreed delivery date 50%
The deposit payment is made for the guaranteed security of the corresponding reservation.
8. Delivery time
The exact delivery time must be agreed in writing.
Due to obstacles that cannot be foreseen or could be planned for the delivery of "Bella&Bona GmbH" (e.B.g. traffic jams, accidents, police use), the customer is granted a grace period.
In the event of malfunctions, such as .B power failure, we reserve the right to make a replacement delivery. Circumstances that make delivery impossible (force majeure, official measures, weather conditions) release us from the obligation to perform.
In the case of agreed delivery, confirmation of delivery by signature of the customer on the delivery note occurs.
The goods remain our property until full payment has been made.
9. Liability
In the event of culpable breach of essential contractual obligations, Bella&Bona shall also be liable in the event of gross negligence on the part of non-executive employees and in the event of slight negligence, in the latter case limited to the foreseeable damage typical of the contract. Further claims are excluded.
The statutory warranty rights apply to the contractual relationship between the customer/contractor and Bella&Bona.
Bella&Bona GmbH is not liable and does not assume any warranty for third-party services.
All goods are freshly prepared by us and delivered immediately. We are not liable for damage to the goods due to improper handling by the contractor, such as .B incorrect storage temperatures. Liability exists only within the scope of proven defects in the returned goods subject to the replacement delivery or credit.
The provisions of the Product Liability Act remain unaffected.
10. Liability for rental properties
The customer/contractor is liable from receipt of the rental goods until the return for any damage or loss of the rental object, regardless of whether the damage or loss was caused by the customer/customer himself or a third party.
The client is liable for all damage or losses of the delivered material caused by his vicarious agents, event participants or other third parties without proof of fault. Losses and damage to the inventory provided by us will be charged at cost price.
11. Data protection
The personal data of the customer/contractor required for the order processing will be stored. The customer/contractor hereby expressly declares his consent to this. All personal and order-related data will of course be treated confidentially and used exclusively for internal purposes.
12. Complaint
The completeness of the delivery as well as the quality of the food must be checked as soon as possible. Defects found must be reported to "Bella&Bona GmbH" without delay. If the customer/customer fails to make such a notification, the delivered goods shall be deemed to have been approved, unless it is a defect which was not recognizable at the time of the first inspection. Such defects must be reported to Bella&Bona GmbH at the latest on the working day following delivery.
13. Amendment to the General Terms and Conditions / Reservation of Change
Bella&Bona is entitled to unilaterally amend these General Terms and Conditions insofar as this is necessary to eliminate subsequent equivalence disturbances or to adapt to changes in legal or technical conditions. We will inform the customer of a change by notifying the customer of the content of the changed regulations to the last known e-mail address of the customer. The change becomes part of the contract if the customer does not object to the inclusion in the contractual relationship in writing or text form within six weeks of receipt of the change notice.

Place of performance for delivery, handover and payment is Munich. The place of jurisdiction is Munich.
